Irina advises clients on a wide range of contract negotiation and compliance matters, helping both established companies and emerging ventures navigate complex regulatory and commercial frameworks. She brings significant corporate finance experience, guiding issuers through financial transactions that span the full growth cycle, from raising seed capital to conducting public and private offerings of debt and equity securities. She also advises reporting issuers on continuous disclosure obligations, corporate governance matters, and compliance with securities regulatory requirements. Her work includes preparing disclosure materials, coordinating with regulators, and ensuring compliance with applicable securities laws.
In her M&A practice, Irina represents buyers, sellers, and targets in sophisticated domestic and cross-border transactions, including acquisitions, reverse takeover (RTOs), and corporate reorganizations. She is experienced in managing the transactional process from initial structuring to closing, and is valued for her analytical rigor, thoroughness, and ability to manage the many moving pieces of complex deals.
Irina received her Master of Laws from the University of Toronto in 2019, where she deepened her expertise in corporate and commercial law. Before that, she earned her Bachelor of Laws (LL.B.) from Ural State University, Institute of Prosecutor’s Office, in Russia, focusing on legal principles and prosecutorial studies.
Throughout her academic journey, Irina was the recipient of various awards and scholarships, recognizing her dedication and academic excellence. Additionally, she completed a certificate in International Trade Management from St. Clair College in Windsor, further enhancing her knowledge of global commerce and trade practices.
Irina enjoys running, weightlifting, and exploring Canada’s great outdoors through activities such as hiking and surfing. Having traveled to 27 countries, she is eager to continue her adventures. In her downtime, she cherishes family time and reading.
